We provide general counsel and transactional representation to businesses and their stakeholders. Our attorneys counsel clients regarding the formation and ownership of new businesses, the transition of existing family businesses from one generation to the next, the structuring of buy-sell arrangements between owners of businesses, and disputes between owners. We structure, negotiate and close significant business transactions, such as the sales of businesses, the acquisition of businesses, the purchase of operating businesses by management team, and the entry into joint ventures with third parties. We regularly represent businesses and their owners, private equity firms and mezzanine lenders in investment transactions.

We work directly with boards of directors and executive management in corporate governance and strategic planning matters. We also advise our business clients on operational matters, including contract review and negotiation, regulatory compliance, and employment-related matters, such as employment agreements, executive compensation agreements, deferred compensation programs, human resource policies, and employment terminations.
